Edventures (“We”, “Us”, “Our”, “Edventures”) is a provider of software and content designed to improve your business idea(s) and project(s), your knowledge about entrepreneurship and related topics as well as to support teachers and coaches in their work with helping entrepreneurs by offering insights and analytics.

These Terms of Service (the “Terms”) are a binding contract between you and Edventures, and constitute the entire agreement between Edventures and you concerning the subject matter hereof. By accessing or using any part of the Service, you acknowledge that you have read, understood, and accept to be bound by these Terms, including any future modifications. We reserve the right, at our sole discretion, to change or modify these Terms at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. We will also notify you, either through the Services user interface, in an email notification or through other reasonable means. Your continued use of the Services after the date any such changes become effective constitutes your acceptance of the new Terms. You represent and guarantee that you are of legal age to form a binding contract (or if not, you’ve received your parent’s or guardian’s permission to use the Services and gotten your parent or guardian to agree to these Terms on your behalf). If you’re agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity’s behalf and bind them to these Terms (in which case, the references to “you” and “your” in these Terms, except for in this sentence, refer to that organization or entity).

Edventures operate the Website located at www.edventures.ai (“the Website”) which allows users to access and use a variety of educational and insights services, including learning about entrepreneurship and advancing knowledge about entrepreneurship-related topics (“the Services”). Edventures may, in its sole discretion and at any time, update, change, suspend, make improvements to or discontinue any aspect of the Services, temporarily or permanently.

To access our Services, you must create a user account with Us ("User Account") and sign in to it. When registering for a User Account, you agree to provide accurate, true, current and complete information about you and/or your organisation as requested by Edventures. Your User Account is personal and you cannot transfer your User Account to anyone else or let someone else use the Services through your User Account. You promise to provide us with accurate, true, complete, and updated registration information about yourself. You may not select a name that you don’t have the right to use, or another person’s name with the intent to impersonate that person. You are fully and solely responsible for all your activity on, and in connection with, the Services. You are responsible for protecting your login information from unauthorized access. If you have reason to believe that someone else has accessed your User Account, please let us know immediately. We are entitled, but not obliged to, block access to your User Account if we have reason to believe that an unauthorized person has accessed your account or that the User Account is abused. We may terminate your access to the Services with immediate effect if we have reason to believe that you violate these Terms or if your use violates law or has any human and/or digital impact on the Services. You may delete your User Account at any time by following the instructions in the Services. This action is irreversible. As soon as you delete your account, all the data associated with your use of the Services will be removed permanently, and we’ll make an anonymised copy for our future use and development of the Services. Registration data and certain other information about you are governed by our Privacy Policy, that you’ll find here.

You are solely and fully responsible for all code, video, images, information, data, text, software, music, sound, photographs, graphics, messages or other materials (“Content”) that you upload, post, publish or display (hereinafter, “upload”) or email or otherwise use via the Services. You agree that you are solely responsible for your interactions with any other user in connection with the Services and Edventures will have no liability or responsibility with respect thereto. Edventures reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the Services. Your use of the Services may only be for its intended purposes mentioned in these Terms. Provided you do not violate these Terms, you will receive a nonexclusive license to use the Services for its intended purpose. You may not transfer the license to anyone else, and in regards of the Services being free of charge, we reserve the right to withdraw the license if you violate the Terms or otherwise at our sole discretion. You may not, in whole or in part, copy or modify the Services, decompile, modify, perform reverse engineering on the Services or its components. It is not allowed to recreate the source code or its functionality, or to make copies of or create other works of the software beyond what the law allows. You may also not use the Services to spread viruses, Trojans, and similar programs, or for automatic scraping of the Services. Unless otherwise expressly authorised herein or in the Services, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer or upload for any commercial purposes, any portion of theServices, use of the Services, or access to the Services. You’re only allowed to use the Services for your own internal, personal orprofessional, use and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you. If applicable laws prohibit you to use the Services, then you aren’t authorised to use the Services. We have no responsibility for you using the Services in a way that breaks the law. You have always, and without Our consent, the option to edit and/or erase your account and the data you have generated while using the Services. You can access the data that has been generated by you through your User Account. Persons under the age of 18 may not use the Services without a guardian’s approval, while persons under the age of 16 may not use the Services at all.

Once you’ve registered a User Account, you must choose one of the subscription plans offered in the Services; (i) Free Forever Plan, (ii) Premium Plan, or (iii) Admin Plan (“Subscription Plans”). The Free Forever Plan is a free-of-charge plan, giving you limited access to the Services. This plan is aimed at entrepreneur users who cannot afford any of our subscription-fee based plans. We reserve the right to deny the Free Plan to anyone at any time at our own discretion. You can become a subscriber to the Premium or Admin Plan (“Paid Subscriptions”) by purchasing a subscription, accessed through the Services. The Premium Plan is a subscription-fee based plan, giving you full access to the Services. This plan is aimed at entrepreneur users who want to access all features of the Services. The Admin Plan is a subscription-fee based plan, giving you full access to the Services. This plan is aimed at admin users who want to access all features of the Services. Edventures may revise the pricing for the Subscription Plans at any time. To purchase a Paid Subscription, you must provide Us with information about the debit or credit card, or other payment option, you wish to use (“Payment Method”). You represent and warrant to Edventures that such information is accurate, true, complete, and current, and that you’re authorised to use the Payment Method. You will promptly update your account information with any changes (for example, a change in your billing address) that may occur. You agree to pay all fees and applicable taxes incurred by you or anyone using a User Account registered to you. Any of the Paid Subscriptions shall be paid in monthly, semi-annual or annual installments and processed by our payment processor of choice. You will only have access to a paid subscription while it is active and subsisting. Should you fail to pay your Premium Plan within 5 days after a due date, you will automatically be downgraded to the Free Plan. Should you fail to pay your Admin Plan subscription within 5 days after due date, the account will be frozen until the due amount is settled. The renewal subscription fees will continue to be billed to the Payment Method you’ve provided to Us. You must cancel your subscription before it renews each billing period in order to avoid billing of the next subscription fee to the Payment Method. Refunds cannot be claimed for any partial-month subscription period.You can modify or cancel the Paid Subscription through the Services. Entrepreneur users may cancel a Paid Subscription and downgrade to the “Free Forever Plan” at any time, without deleting your account. Cancellation is effective at the end of the applicable billing period. Should you delete your User Account, cancellation of a Paid Subscription is effective at the end of the applicable billing period. In the event that Edventures suspends or terminates your use of the Services, or these Terms, or you close your account voluntarily, you understand and agree that you will receive no refund or exchange of any kind for any Content or data associated with your use of the Service, or for anything else. All financial transactions made in connection with the Service will be processed by a third party in accordance with their respective terms of service, privacy policy, and/or any applicable payment terms and conditions (“Payment Processor”). We encourage you to learn about the practices of such third party. In no event will Edventures be responsible for the actions or inactions of any third party payment processor, including, but not limited to, system downtime or payment service outages.

Upon your use of the Services, we will automatically collect and process certain information. For example, you can load content such as comments, messages, data, text, and other information ("User Generated Content") in the Services. You represent and warrant that you own all right, title and interest in and to such User Generated Content, including, without limitation, all copyrights and rights of publicity contained therein. By uploading any User Generated Content you hereby grant and will grant Edventures and its affiliated companies a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sub-licensable, eternal, irrevocable license to dispose, process, modify, store, publish, distribute, transfer, encode, copy, present, display and otherwise use your User Generated Content in connection with the operation of the Services or the promotion, advertising or marketing thereof in any form, medium or technology now known or later developed. You agree and warrant that you will not upload or spread User Generated Content via the Services such as: • against others, erroneous, misleading, false or inaccurate, • promotes or encourages illegal activity, • is racist or ethnically abusive and / or constitutes a minority (such as a national or ethnic group); • constitute disqualification, pornography or otherwise sexually offensive, • constitute an attack on sexual orientation or religion or is discriminatory in another way, • constitute insult or persecution against a person, • is in any way harmful, offensive, offensive or illegal or infringes the rights of third parties (including but not limited to copyright and trademarks), or • otherwise, contrary to the intended purposes of Our Services. We reserve the right, at our sole discretion, to remove User Generated Content that we deem to be in breach with these Terms or which we otherwise consider unfair, unethical or illegal, or may be harmful to us or to Users of the Services. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Services (“Submissions”), provided by you to Edventures are non-confidential and we will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. You acknowledge and agree that Edventures may preserve content and may also disclose content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (i) comply with legal process, applicable laws or government requests; (ii) enforce these Terms; (iii) respond to claims that any content violates the rights of third parties; or (iv) protect the rights, property, or personal safety of Edventures, our users and the public. You understand that the technical processing and transmission of the Services, including your content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You acknowledge and agree that the Services may contain content, information, data or features (“Service Content”) that are, without limitation, protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorised by Edventures, you agree not to, without limitation, modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Services or the Service Content, in whole or in part, except that the foregoing does not apply to your own User Generated Content that you legally upload to the Services. In connection with your use of the Services, you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. If you are blocked by Edventures from accessing the Services (e.g., by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address). Any use of the Services or the Service Content other than as specifically authorised herein is strictly prohibited. The technology and software underlying the Services or distributed in connection therewith are the property of Edventures, our affiliates and our partners (the “Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right Edventures Terms of Service, version 1 in the Software. Any rights not expressly granted herein are reserved by Edventures. The Edventures name, symbols and all other trademarks, service marks, graphics and logos used in connection with the Services are trademarks and service marks of Edventures (collectively the “Edventures Trademarks”), registered with the European Union Intellectual Property Organisation, EUIPO. Other company, product, and service names and logos might be used and displayed via the Services and may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to Edventures. Nothing in these Terms or the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Edventures Trademarks displayed on the Services, without our prior written permission in each instance. All goodwill generated from the use of Edventures Trademarks will inure to our exclusive benefit.

The Free Forever Plan includes advertisements. The types and extent of advertising on the Services are subject to change. In consideration for Edventures granting you access to and use of the Services for free, you agree that Edventures and its third party providers and partners may place such advertising in connection with the display of content or information submitted by you or others.

Your privacy and personal information are important to Us and we promise that Edventures will never sell, transfer or otherwise allow any third party to access your personal information without your consent or beyond what is expressly stated in the Privacy Policy. The data you share with us is necessary for the Services to work, be helpful and meaningful to you. We take your privacy and integrity seriously and we will only look at data at an aggregated level and only for the purposes described in the Privacy Policy. Your privacy and security are important to us and our goal is to be as honest and clear as possible about the way we collect, process and use Personal Data. Entrepreneurship is a lot about daring to go your own way and taking big risks. Therefore, you cannot expect any guarantees in the idea(s) and/or project(s) you are involved in. The same applies to these Services, although our ambition is to provide you with the best possible conditions and advice we can. Nobody is perfect. Edventures is a provider of software and content designed to improve your business idea(s) and project(s), your knowledge about entrepreneurship and related topics as well as to support teachers and coaches in their work with helping entrepreneurs by offering insights and analytics. However, we are not a Edventures Terms of Service, version 1 certified business advisor or educational institution, nor should our Services be considered as such. Edventures makes no claims, representations or guarantees that using the Services will provide a successful outcome to your business idea(s) and project(s). Edventures can never be held accountable or liable, financially or otherwise, for actions and decisions made by you, regarding your business idea(s) and project(s) and their outcomes. Information received through the Services shall not be considered as indisputable facts, nor the only correct way on how to develop your business idea(s) and project(s). The user acknowledges that the information received through the Services is for informational, learning and guiding purposes only, and should not be acted blindly upon. It’s the user’s sole responsibility to decide what information to listen to and act upon. By using our Services you understand, acknowledge and accept that you can under no circumstances hold us accountable for possible outcomes that may affect you and your business negatively, such as loss of profit, damages, loss of goodwill or other intangible losses. Under no circumstances shall Our total liability to you regarding damage, losses, and/or claims exceed €100. You acknowledge that there may be situations when the Services will not be available due to, but not limited to, maintenance, errors, or other circumstances beyond our control. Your interactions with other user(s) on or through the Services are solely between you and the other user(s). You should make whatever investigation you feel necessary or appropriate before proceeding with interaction with any of these third parties. You agree that Edventures are not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between users on the Services, or between user(s) and any third party, you agree that Edventures is under no obligation to become involved. In the event that you have a dispute with one or more other user(s) found through the Services, you release Edventures, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or through the Services. The Services is provided in its current state and your use of the Services is your sole and full responsibility and at your own risk. We do not provide any warranties — direct, implied or otherwise — regarding the availability, quality, and eligibility of any particular purpose, suitability or accuracy of the Services otherwise. We are not liable to you for any third party claims directed against you. You further acknowledge and agree that we have no obligation to maintain, provide support for, upgrade or update the Services. To the extent permitted under mandatory legislation, we are not liable to you or any third party for any direct, indirect or other damages of any kind including but not limited to non-profit, loss of income, reduced sales, discontinuation of business or goodwill loss arising due to or in connection with these Terms or the Services.

You are liable towards Us for any harm caused you and suffered by Us, or third parties, due to your breach of these Terms, including but not limited to, misuse of the Services. In addition, you undertake to indemnify us in relation to all claims, costs (including reasonable legal costs), damages, expenses, damages and losses we are incurred in any way in relation to your breach of these Terms or other applicable law. In the event that any User Generated Content infringes any third party's intellectual property, you agree to immediately remove all infringing parts of the material or promptly inform Us so that We can remove the material and indemnify Us for all damages, expenses and expenses incurred by Us, as a result of such intrusion. Furthermore, We reserve the right to modify, terminate or temporarily or permanently terminate Our provision of the Services without prior notice or, as required by law or by public authority, at any time. You agree that we are not liable to you or any third party for such modification, interruption or termination.

We will probably make changes to these Terms as the Services develop. If we make significant changes, we will notify you based on what is appropriate in the circumstances.

These Terms shall be governed by and interpreted in accordance with Swedish law, without the application of the law of choice. Disputes or claims arising out of or in connection with these Terms, or in the case of crimes, termination or invalidity thereof, shall ultimately be settled by Swedish court, subject to mandatory law, or by Stockholm Chamber of Commerce, subject to any arbitration or dispute not ruled by mandatory law.
